Modern Petal Co. – Terms & Conditions (Terms of Service)
OVERVIEW
This website is operated by Modern Petal Co. Throughout the site, the terms “we”, “us”, “our”, and “The Vendor” refer to Modern Petal Co. Modern Petal Co. offers this website, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.
By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including any additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.
Please read these Terms carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms. If you do not agree to all terms and conditions of this agreement, you may not access the website or use any Services.
Any new features or tools which are added to the current store shall also be subject to the Terms. You can review the most current version of the Terms at any time on this page. We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
DISCLAIMER – FAUX FLORALS
By renting our floral arrangements, you understand that while many pieces look and feel realistic and may be named after real flowers, they are artificial (faux) florals and are designed to resemble fresh flowers.
MINIMUM ORDER
Due to limited inventory and scheduling, Modern Petal Co. requires a minimum order of $300 CAD (before tax) for all bookings.
PAYMENT
Payment in Full
If you choose to pay in full, you immediately secure your event date for the specific items in your order and the associated services.
REQUIRED SERVICE FEE – DELIVERY / SETUP / TEARDOWN / FLORAL MOVING
A Delivery / Setup / Teardown / Floral Moving Service fee is automatically added to your cart and is required for all orders.
If florals need to be moved from ceremony to reception, this service is mandatory and may only be completed by the Modern Petal Co. team (same venue only), to protect design integrity, quality, and rental items.
DISTANCE / TRAVEL FEES
Events located more than 55 km from postal code T4S 1S5 require an additional per-kilometre travel fee. Travel fees must be added at checkout and are subject to the policies in these Terms.
CANCELLATION POLICY
Modern Petal Co. requires a 90-day cancellation notice.
If you cancel 90 days or more before your event date, we will refund all payments except:
Cancellations or reschedules requested/occurring within 90 days of your event date are non-refundable. This is because florals and inventory are reserved, preparations have started, and staffing/logistics are scheduled.

RESCHEDULING
Rescheduling is subject to availability. If your requested new date is available, we may transfer your retainer to the new date (at our discretion and based on timing).
Force Majeure / Extraordinary Events
If the contract is impacted by events beyond either party’s control (including but not limited to natural disasters, fire, flood, war, epidemic, government restrictions, or other extraordinary events), we will make reasonable efforts to move your retainer to another available date. If the new requested date is unavailable, no refunds are guaranteed. Any costs already incurred that cannot be recovered are not refundable.
ALTERATIONS / ORDER CHANGES
Alterations (additions, subtractions, or changes) can be requested up to 7 days before the event date, subject to availability.
A minimum payment amount of 85% of the original order subtotal (before tax) applies even if items are removed.

The Client may not alter rental items in any way. This includes adding your own florals (fresh or faux), removing flowers, changing arrangement shapes, or modifying mechanics. Damage fees will apply for non-compliance, and we reserve the right to charge the payment method on file for damages.
AVAILABILITY
We reserve the right to cancel an order if obligations cannot be met. If we cancel your order, we will provide a refund (including the retainer), minus any actual costs incurred up to that point that we inform you of.
We may cancel/refund specific items if:

the date is no longer available due to scheduling overlap or system error,
-
inventory limits were exceeded, or
-
an item becomes unavailable due to damage from a prior rental.
(When possible, we may offer substitutions or refunds for affected items.)
INTEGRITY OF RENTED ITEMS / SUBSTITUTIONS
Our floral arrangements are made using faux florals designed to replicate fresh flowers.
If an item becomes unavailable due to damage or supply limitations, we reserve the right to make substitutions. We will maintain the integrity of the intended look and color palette and use flowers of similar size and value.
Please note: monitor/device settings may cause colors to appear differently in person than online.
All rental items may show normal wear over time. By booking, you accept that minor wear is part of rental inventory.
LIABILITY
By purchasing, you agree not to move, relocate, or alter rented items after setup by the Vendor. You agree to be mindful around the rentals (especially with candles, heat, and traffic).
The Client will not hold Modern Petal Co. or its staff responsible for:
-
breakage or shifting due to weather, guests, vendors, venue staff, or tampering,
-
injury or property damage related to the rented items or installation methods,
-
damage caused while moving non-vendor items at the Client’s request (tables/chairs/decor), if applicable.
DAMAGES / LOSS / THEFT
The Client is responsible for all rental items from setup until teardown. The Client assumes risk of loss regardless of cause (including venue staff, guests, weather, etc.).
Items that are damaged, missing, stolen, or excessively soiled will be charged at full replacement or repair cost, determined by the Vendor.
We reserve the right to charge the payment method on file for damage/replacement fees.
INCLEMENT WEATHER (IF APPLICABLE)
For outdoor events, weather can change quickly. We reserve the right to adjust delivery/setup timing for protection of rental items.
If weather is unsafe at installation time, we may:

delay setup (if time allows),
-
place items in a sheltered location for your coordinator, or
-
refuse installation in unsafe conditions.
No refunds will be issued once items have been delivered/set up.
MEDIA USAGE / MODEL RELEASE
The Client agrees to allow Modern Petal Co. to use images or recordings captured at the event for advertising, portfolio, and social media purposes.
VENDOR’S ROLE ON EVENT DATE
Modern Petal Co. will deliver, set up, and tear down all rental items. Rentals may not be transported, dismantled, or moved by anyone without written approval.
Teardown times selected at checkout are the time we arrive to begin teardown. The Client is responsible for informing venue staff/coordinators of teardown timing. Delays caused by venue restrictions may result in additional fees.
LOCATION & SITE LIMITATIONS
The Client is responsible for ensuring adequate space and venue permission for installations. Refunds will not be issued for unused items due to venue restrictions or limitations not communicated in advance.
We may adjust placement or refuse installation if we deem a location unsafe due to limited space, uneven ground, or other hazards.
SHOPIFY TERMS OF SERVICE SECTIONS
Our store is hosted on Shopify Inc. They provide the e-commerce platform that allows us to sell our products and Services to you.
SECTION 1 – ONLINE STORE TERMS
By agreeing to these Terms, you represent that you are at least the age of majority in your province/territory of residence, or that you are the age of majority and you have given consent to allow any minor dependents to use this site. You may not use our products for any illegal or unauthorized purpose, nor violate any laws in your jurisdiction. You must not transmit any viruses or destructive code. A breach of these Terms will result in termination of Services.
SECTION 2 – GENERAL CONDITIONS
We reserve the right to refuse service to anyone for any reason at any time. Content (excluding credit card information) may be transferred unencrypted across networks. Credit card information is always encrypted during transfer. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission.
SECTION 3 – ACCURACY, COMPLETENESS & TIMELINESS OF INFORMATION
We are not responsible if information on this site is not accurate, complete, or current. We reserve the right to modify site content at any time without obligation to update. This Terms & Conditions page and written emails from modernpetal.co@gmail.com will be the controlling documents in the event of discrepancies.
SECTION 4 – MODIFICATIONS TO THE SERVICE AND PRICES
Prices are subject to change without notice. We reserve the right to modify or discontinue the Service without notice. We are not liable to you or any third party for such changes.
SECTION 5 – PRODUCTS OR SERVICES
Certain products/services may be available exclusively online and may have limited quantities. We reserve the right to limit sales, quantities, and discontinue products at any time. We do not warrant that product quality will meet expectations or that Service errors will be corrected.
SECTION 6 – ACCURACY OF BILLING & ACCOUNT INFORMATION
We reserve the right to refuse any order. We may limit or cancel quantities per person/household/order. If we change or cancel an order, we may notify you using the contact details provided. You agree to provide current, complete, and accurate purchase information and to update your account information as needed.
SECTION 7 – OPTIONAL TOOLS
We may provide access to third-party tools “as is” without warranties. Use of optional tools is at your own risk.
SECTION 8 – THIRD-PARTY LINKS
We are not responsible for third-party websites or materials linked from our site. Complaints or concerns about third-party products should be directed to those parties.
SECTION 9 – USER COMMENTS, FEEDBACK & SUBMISSIONS
You agree we may use comments or submissions you provide to us without restriction. You are responsible for the content you submit.
SECTION 10 – PERSONAL INFORMATION
Your submission of personal information through the store is governed by our Privacy Policy.
SECTION 11 – ERRORS, INACCURACIES & OMISSIONS
We reserve the right to correct errors and to change or update information or cancel orders if information is inaccurate at any time without prior notice.

You are prohibited from using the site or its content for unlawful purposes or to violate laws, intellectual property, or security. We may terminate use for violations.
SECTION 13 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
The Service and products are provided “as is” and “as available” without warranties. To the maximum extent permitted by law, Modern Petal Co. is not liable for indirect, incidental, punitive, special, or consequential damages arising from your use of the Service.

You agree to indemnify and hold harmless Modern Petal Co. from any claim arising from your breach of these Terms or violation of law or third-party rights.
SECTION 15 – SEVERABILITY
If any provision is found unenforceable, remaining provisions will remain in effect.
SECTION 16 – TERMINATION
These Terms remain effective unless terminated by you or us. We may terminate access if we suspect a breach.
SECTION 17 – ENTIRE AGREEMENT
These Terms and any policies posted constitute the entire agreement between you and Modern Petal Co.
SECTION 18 – GOVERNING LAW
These Terms are governed by the laws of Canada and the applicable laws of the Province in which Modern Petal Co. operates.
SECTION 19 – CHANGES TO TERMS OF SERVICE
We reserve the right to update these Terms at any time by posting changes. Continued use of the site constitutes acceptance.
